1. Parties

This Distance Selling Agreement (“Agreement”) has been approved electronically and entered into force between the parties whose details are provided below.

(Hereinafter referred to as the “SELLER”.)

BUYER (Customer): Name, surname/title, address, and contact information are determined through the system after order confirmation. (Hereinafter referred to as “BUYER”.)

2. Subject Matter of the Agreement

The subject matter of this agreement is to determine the rights and obligations of the parties in accordance with the provisions of Law No. 6502 on the Protection of Consumers and the Remote Contracts Regulation regarding the purchase by the BUYER of digital design, software, installation, consulting, and similar services for the Shopify infrastructure through Nodus Works.

3. Establishment of the Contract

The contract comes into effect when the BUYER accepts the offer sent by the SELLER via its website or email. The service commences upon the BUYER making the first payment according to the payment plan specified by the BUYER and the commencement of project planning.

4. Scope and Cost of the Service

  • Services may include design, setup, software development, consulting, or technical support on the Shopify platform. The service fee is the amount specified in the quote or order confirmation. Prices include VAT. The payment plan is as follows: 50% + VAT at the start of the project, 50% + VAT upon completion of the project and before delivery. No refunds will be given after the project has started.

5. Delivery Method and Time

  • The service is delivered digitally (such as Shopify panel access, file transfer, or store launch). The delivery time is determined based on the scope of the project and agreed upon by both parties. The SELLER shall notify the BUYER of any delays arising from unforeseen technical or external reasons.

6. Right of Withdrawal

  • The BUYER may exercise their right of withdrawal within 14 (fourteen) days without providing any reason if the service has not yet commenced. However, the right of withdrawal cannot be exercised if the service has already commenced (e.g., if the design, installation, or development process has begun). The BUYER cannot request a refund of any advance payment made once the work has commenced.

7. Return and Cancellation Policy

  • Digital content and custom software services are non-refundable by nature. Payments made are non-refundable if the BUYER cancels the project or terminates communication. If the SELLER is unable to perform the service, the fee for the uncompleted portion will be refunded.

8. Revision Rights

  • The BUYER may request free changes up to the number of revisions specified in the project. Additional requests or requests outside the scope of the project will be charged separately.

9. Privacy and Data Protection

The SELLER uses the BUYER's personal data solely for the purpose of performing the service and protects it under the Personal Data Protection Law No. 6698 (KVKK).

10. Force Majeure

The parties shall not be held liable for any delay or disruption in the service due to reasons beyond their control, such as natural disasters, war, cyber attacks, internet outages, strikes, or epidemics.

11. Resolution of Disputes

In disputes arising from this agreement: Consumer Arbitration Boards and Consumer Courts shall have jurisdiction for consumer transactions, while the Istanbul Anatolian Courts and Enforcement Offices shall have jurisdiction for commercial transactions.

12. Enforcement

The BUYER declares that by electronically accepting this agreement, they have read, understood, and accepted all terms and conditions. The agreement shall enter into force upon acceptance.
