NODUS WORKS DISTANCE SALES CONTRACT

1. Parties

This Distance Selling Agreement (”Convention”) has entered into force by electronic approval between the parties with the information below.

SELLER (Service Provider):

(It will be referred to as “SELLER” in the singular.)

BUYER (Customer):
Name, surname/title, address and contact information are determined through the system after order confirmation.
(It will be referred to as “RECIPIENT” in the singular.)

2. Subject of the Agreement

The subject of this agreement is No. 6502 in relation to Buyer's purchase of digital design, software, installation, consulting, and similar services for the Shopify infrastructure through Nodus Works Law on Consumer Protection and Distance Contracts Regulation is the determination of the rights and obligations of the parties under its provisions.

3. Establishment of the Convention

The contract enters into force when the BUYER approves the offer transmitted by the Seller via the website or electronic mail.
Start of the service according to the payment plan determined by the BUYER making the first payment and takes place with the initiation of project planning.

4. Scope and Cost of Service

  • The service may include design, installation, software development, consulting, or technical support on the Shopify platform.
  • The cost of the service is the amount specified in the quotation or order confirmation.
  • Prices VAT is included.
  • The payment plan is as follows:
    • 50% + VAT at the start of business,
    • 50% + VAT when the work is completed and before delivery.
  • After starting work prepayment is not refundable.

5. Delivery Form and Duration

  • The service is delivered digitally (such as Shopify panel access, file submission, or store publishing).
  • The delivery time is determined according to the scope of the project and agreed by the parties.
  • The SELLER informs the BUYER in case of delays due to unforeseen technical or external reasons.

6. Right of Withdrawal

  • If the BUYER does not start the performance of the service Within 14 (fourteen) days can exercise the right of withdrawal without giving any reason.
  • However, if the performance of the service has begun (for example, if the design, installation or development process has begun) The right of withdrawal cannot be exercised.
  • The prepayment made by the BUYER at the commencement of the work cannot request a refund.

7. Return and Cancellation Terms

  • Digital content and custom software services by nature non-refundable.
  • Payments made in the event that the Buyer cancels the project or terminates communication non-refundable.
  • In the event that the Seller is unable to perform the service, the price for the part not completed will be refunded.

8. Revision Rights

  • BUYER, specified in the scope of the project Up to the number of revisions free change request can be made.
  • Additional requests or requests outside the scope of the project are charged separately.

9. Privacy and Data Protection

SELLER uses Buyer's personal data only for the purpose of performing the service and number 6698 Personal Data Protection Act (KVKK) Protects within the scope.

10. Force Majeure

The parties cannot be held responsible in case of delay or interruption of service due to reasons such as natural disaster, war, cyber attack, internet outage, strike, pandemic that develops outside the control of the parties.

11. Dispute Resolution

In case of disputes arising out of this contract:

  • For consumer transactions Consumer Arbitration Boards and Consumer Courts,
  • If it is for commercial transactions Istanbul Anatolian Courts and Enforcement Offices is competent.

12. Effectiveness

The BUYER declares that it has read, understood and accepted all terms when it validates this agreement electronically.
The contract enters into force at the time of approval.
