NODUS WORKS DISTANCE SALES AGREEMENT

1. Parties

This Distance Sales Contract (the “Contract”) has entered into force by being approved electronically between the parties whose details are provided below.

SELLER (Service Provider):

(Hereinafter referred to as the “SELLER”.)

BUYER (Customer):
Name, surname/title, address, and contact information are determined via the system after order confirmation.
(Hereinafter referred to as the “BUYER”.)

2. Subject of the Contract

The subject of this contract is to determine the rights and obligations of the parties in accordance with the provisions of the Law on the Protection of Consumers No. 6502 and the Regulation on Distance Contracts regarding the BUYER's purchase of digital design, software, setup, consulting, and similar services for the Shopify infrastructure through Nodus Works.

3. Formation of the Contract

The contract enters into force once the BUYER approves the proposal submitted by the SELLER via the website or email.
The service begins upon the making of the initial payment according to the payment plan determined by the BUYER and the initiation of project planning.

4. Scope and Cost of Service

  • The service may include design, setup, software development, consulting, or technical support on the Shopify platform.
  • The service fee is the amount specified in the proposal or order confirmation.
  • Prices VAT is included.
  • The payment schedule is as follows:
    • 50% + VAT at the start of the work,
    • 50% + VAT upon completion of the work and prior to delivery.
  • Once work has commenced The advance payment is non-refundable.

5. Delivery Method and Timeline

  • The service is delivered digitally (such as via Shopify panel access, file transfer, or launching the store).
  • The delivery time is determined based on the scope of the project and is mutually agreed upon by the parties.
  • The SELLER shall inform the BUYER of any delays arising from unforeseen technical or external factors.

6. Right of Withdrawal

  • Provided that the performance of the service has not yet begun, the BUYER within 14 (fourteen) days may exercise their right of withdrawal without providing any justification.
  • However, if the performance of the service has already begun (e.g., the design, setup, or development process has started), the right of withdrawal cannot be exercised.
  • Upon the commencement of the work, the BUYER acknowledges that the advance payment cannot request a refund.

7. Refund and Cancellation Policy

  • Due to the nature of digital content and custom software services, cannot be refunded.
  • In the event that the BUYER cancels the project or terminates communication, payments made are non-refundable.
  • In the event that the SELLER is unable to fulfill the service, the fee for the uncompleted portion shall be refunded.

8. Revision Rights

  • THE BUYER, as specified within the scope of the project up to the number of revisions may request free changes.
  • Additional requests or requirements outside the scope of the project will be charged separately.

9. Privacy and Data Protection

The SELLER uses the BUYER's personal data solely for the purpose of service delivery and protects it in accordance with the Personal Data Protection Law (KVKK).

10. Force Majeure

Neither party shall be held liable for any delay or failure in service caused by events beyond their control, such as natural disasters, war, cyberattacks, internet outages, strikes, or pandemics.

11. Dispute Resolution

In the event of disputes arising from this agreement:

  • For consumer transactions, Consumer Arbitration Committees and Consumer Courts,
  • For commercial transactions, Istanbul Anatolian Courts and Enforcement Offices has jurisdiction.

12. Effectiveness

By approving this agreement electronically, the BUYER declares that they have read, understood, and accepted all terms.
The agreement enters into force at the moment of approval.
